Almost every states require an annual (or biennial: every two years) filing to maintain your Registered Agent, Officers/Directors, and/or Members Names and Addresses up to date.
An Annual Report or Statement of Information is the most common name for the file. This file will be necessary for the state where your business is established or formed, as well as any states where your business is ‘foreign qualified’ to conduct business.

- The date your business was first registered with the state.
- The first report is needed soon after the firm is formed (highlighted below).
- End of Fiscal Year (FY) (typically Dec. 31).
- Every two years, a biennial is due.
- Even years are 2012, 2014, and so on.
- 2011 is an odd year, as are 2013, and so on.
- Quarterly Reporting Period (QTR) – Quarterly Reporting Period (QRP (Jan-Mar, Apr-Jun, Jul-Sep, Oct-Dec)
