To allow your company to conduct business in a state other than the one in which it was created, you must file a Foreign Qualification or Certificate of Authority in each state where you wish to conduct business.

Obtain Certificate of Good Standing or Copies of Articles from the home state. Please use our Document Retrieval order form to obtain the certified copies first. We cannot file your qualification without the required certificate.

Obtain a Certificate of Good Standing at the time of filing: In each state, “doing business” might signify different things, but it usually means:
- Getting a business license or opening an office.
- Recruiting new staff or holding meetings.
- In such a stage, having any form of actual existence.
The way to acquire permission to conduct business in another state is known as “Foreign Qualification,” and the state issues a “Certificate of Authority” once the procedure is finished.
If your California LLC is incorporated in California but you are physically based and conducting business in New York, you will need to “Foreign Qualify” your California LLC in New York, which allows your LLC to conduct business in that state.

How do I form a non-profit?
Step 1: Obtain a Good Standing Certificate from your own state or country:
Please skip this step if you already have or are in the process of getting a Certificate of Good Standing from the company’s home state that is less than 2 months old (some states need less than 30 days). For an extra cost, we may assist you in acquiring a Certificate of Good Standing from your home state. If the entity is a non-profit, the Certificate of Existence/Certificate of Good Standing must mention this, or the Secretary of State will register it as a profit entity, requiring additional filing costs.
Note: If the foreign entity is not from the United States and the Certificate of Good Standing is not in English, you will need to have it translated before you can register it. Before sending your paperwork to the Secretary of State for filing, be sure they will accept your translated Certificate of Good Standing.
Step 2: Check name availability:
If a foreign entity’s name is not accessible, the entity will be forced to operate under a DBA. Adding the name’s home state in front of it will sometimes make it accessible.
Step 3: Prepare and sign the form:

Step 4: How fast do you need your document filed?
Many jurisdictions charge an extra cost for rush service. We process all of your filings through a walk-in (counter) service, which is the quickest and most consistent choice.
Option 1: 24 – 48 hour rush – On the day of the filing, documents must be received by 12:00 PST. Expedited service is not available in every state.
Option 2: Routine – several days to several months – view the state’s specifics
The following document has been filed: The Secretary of State will process this paperwork after it has been submitted to them. If you mail the papers in, you will have to wait considerably longer.
The document is complete: We shall fax or email you a copy of the filed document as soon as possible. FedEx service is offered with an extra $25 charge.
